INITIAL PUBLIC OFFER/FORWARD PUBLIC OFFER

1. What is IPO & FPO?

An initial public offering, or IPO, is the first sale of stock by a company to the public. A company can raise money by issuing either debt or equity. If the company has never issued equity to the public, it's known as an IPO. For IPO, company has to get it registered on Stock Exchange.
Companies fall into two broad categories: private and public.
A privately held company has fewer shareholders and its owners don't have to disclose much information about the company. Anybody can go out and incorporate a company: just put in some money, file the right legal documents and follow the reporting rules of your jurisdiction. Most small businesses are privately held. Public companies, on the other hand, have sold at least a portion of themselves to the public and trade on a stock exchange. This is why doing an IPO is also referred to as "going public."

Public companies have thousands of shareholders and are subject to strict rules and regulations. They must have a board of directors and they must report financial information every quarter. In India, public companies report to the Securities and Exchange Board of India (SEBI).
Initial public offerings are mostly used by companies to raise the expansion of capital, possibly to monetize the investments of early private investors, and to become publicly traded enterprises. A company selling shares is never required to repay the capital to its public investors. Once a company is listed, it is able to issue additional common shares in a number of different ways, A follow on public offer (FPO) is an issuing of shares to investors by a public company that is already listed on an exchange. An FPO is essentially a stock issue of supplementary shares made by a company that is already publicly listed and has gone through the IPO process
An IPO accords several benefits to the previously private company:

  • Enlarging and diversifying equity base
  • Enabling cheaper access to capital
  • Increasing exposure, prestige, and public image
  • Creating multiple financing opportunities: equity, convertible debt, cheaper bank loans, etc
  • The money can be used in various ways, such as re-investing in the company's infrastructure or expanding the business.
  • An added benefit from issuing shares is that they can be used to attract top management candidates through the offer of perks like stock option plans.
  • Another plus from going public benefit is that stocks can be used in merger and acquisition deals as part of the payment.
